Terms of Use and License

These terms are written to be readable without a law degree, and they are binding. They cover your use of this website and your license to use the Sageling application.

Sageling asks you to accept them when you set it up, and continuing is how you accept. If you do not agree, stop there and delete it — nothing of yours is kept, and you owe us nothing.

Who you are agreeing with

Sageling is operated by Kirill Klimuk, an individual (“we”, “us”). Contact is support@sageling.ai.

What Sageling is, and who is operating it

Sageling is a macOS application that runs an AI agent on your own computer. You give it work in plain language; it can read and write files, run programs on your Mac, search the web, read web pages, and use other software already installed on your machine.

Sageling is a tool you direct. It runs on your computer, under your account, with the access you give it. When it runs a command, you are running that command on your own computer. We do not operate it, we cannot see what it does, and we have no ability to intervene in or stop a run.

It is free. We may offer paid features in the future.

What you are authorizing

By installing and using Sageling, you authorize it to act on your computer on your behalf — to read, create, modify and delete files, to run programs, and to make network requests, in the course of the work you give it. You also authorize it to check for and install its own updates.

Sageling works independently by default. In that mode it decides for itself which steps fall within the work you have given it, and takes them without checking each one with you — that is what makes it useful rather than a series of prompts.

Running it in independent mode, which is how it arrives, is your authorization for the steps it takes in that mode. It is the more capable setting and the less cautious one, and it is worth understanding before you leave it on.

You can turn independence off at any time, and back on again. With it off, Sageling stops and asks you before it takes a step you have not previously permitted, and it does what you decide — your approval is your authorization for that step, and a refusal stops it. It is slower, and it is the setting to use when you are pointing it at something you care about.

Your work is yours

As between you and us, everything you write and everything Sageling produces for you is yours. We claim no ownership of it and take no license to it, and we could not use it if we wanted to — it stays on your Mac.

We cannot promise more than that, and you should know why.

Whether AI output can be copyrighted is unsettled law, and it is moving. The general shape today is that the more you directed and shaped a result, the more likely it is to be protected; output the model produced with little direction from you is generally not. Where any particular thing falls on that line is not something we can tell you.

Separately, a model can produce text or code resembling work that already exists, and two people asking the same question may get the same answer. If you publish or rely on what Sageling produces, checking it is yours to do.

What you are responsible for

This is the part worth reading twice. Sageling runs real programs on your real computer, against your real files, and browses the internet on your behalf — because that is what makes it useful. It can create, change, and delete things, it can visit sites and act on them as you, and it can act on instructions that turn out to be wrong.

Your license

We grant you a personal, non-exclusive, non-transferable license to install and use Sageling on Macs you own or control, for any lawful purpose, including commercial work.

Sageling is not open source. You may not redistribute it, sell it, rent it, publish it, or make it available as a service to others. You may not reverse-engineer, decompile, or disassemble it, except where that restriction is void under the law that applies to you.

Sageling includes third-party components, and the language model it runs is licensed by whoever made it. Those components are governed by their own licenses, and where any of those licenses conflict with these terms — including the restriction above — that license controls. Our acknowledgements page lists them.

We keep all rights not expressly granted here.

Skills, and other people’s code

Sageling can install “skills” — packaged instructions written by other people, which can direct it to act on your machine.

Skills that come from our catalog are checked before they are listed, including an automated grade and security audit. That is not a guarantee, and it will not catch everything. We did not write those skills, we do not warrant them, and we take on no duty to detect problems in them. Sageling can also install skills from other places you point it at, which are not checked by us at all.

Installing a skill is your decision. The same goes for websites Sageling reads for you: their content is theirs, and we are not responsible for it.

We may remove anything from our catalog at any time, and Sageling may stop offering or updating it.

Updates

Sageling checks for updates and can install them so that fixes reach you. We may change, add, or remove features, and we may stop supporting older versions: an out-of-date copy may eventually stop working. Updates are covered by these terms.

Provided “as is”

SAGELING IS LICENSED “AS IS” AND “AS AVAILABLE”. YOU BEAR THE RISK OF USING IT. TO THE FULLEST EXTENT THE LAW ALLOWS, WE GIVE NO WARRANTIES, GUARANTEES OR CONDITIONS OF ANY KIND, EXPRESS, IMPLIED OR STATUTORY, AND WE DISCLAIM THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, ACCURACY, AND QUIET ENJOYMENT.

We do not warrant that Sageling will be uninterrupted, error-free, or secure, that its output will be correct, or that defects will be fixed.

Some places do not allow parts of this to be disclaimed. Where that is true, this section applies as far as it lawfully can and no further, and nothing here takes away consumer rights you have by law that cannot be waived.

Limits on our liability

Read this together with the section above. To the fullest extent the law allows, and regardless of the theory of liability — contract, tort, negligence, strict liability, warranty, statute, or anything else:

Nothing in this section limits liability that cannot be limited under the law that applies to you. Where that law does not permit a limitation — for example, for fraud or for death or personal injury caused by negligence — the limitation does not apply to that extent and applies in full otherwise.

If someone else brings a claim

If your use of Sageling causes a claim against us by someone else — for example because you directed it at another person’s files, systems, or data, or published something it produced — you will cover our reasonable costs and damages from that claim. We will tell you promptly if one arises and let you take part in the defense.

Ideas you send us

If you send us feedback, suggestions, or ideas — at support@sageling.ai or anywhere else — we may use them freely and without owing you anything. Please do not send us anything you consider confidential or want to be paid for.

Ending it

You can stop using Sageling at any time by deleting it. We may end this license if you materially breach these terms. The sections on your work, your license restrictions, responsibility, the disclaimer, the liability limits, third-party claims, feedback, and governing law survive.

Time limit on claims

Any claim arising out of these terms or your use of Sageling must be brought within one year of when it arose, or it is permanently barred, except where the law that applies to you does not allow that period to be shortened.

Transfers

We may transfer these terms, and our rights and obligations under them, to a company we form to operate Sageling or to someone who acquires it. You may not transfer them.

Who may agree

You must be old enough to enter a binding contract where you live. If you are not, do not install Sageling.

Governing law

These terms are governed by the laws of the State of California, without regard to its conflict of law rules. Any dispute will be brought in the state or federal courts located in California, and we each agree to their jurisdiction. Either of us may still bring a claim in small claims court if it qualifies.

To the extent the law allows, each of us waives the right to a jury trial, and claims may be brought only individually — not as a class action or in any representative capacity.

If mandatory consumer-protection law where you live gives you the right to bring a claim there instead, this section does not take that right away.

Changes

We may update these terms. When we do, the date at the top changes, and material changes are announced before they take effect. Continuing to use Sageling after that means you accept the new terms.

The whole agreement

These terms and the Privacy Policy are the entire agreement between us about Sageling, apart from the third-party licenses referred to above. If any part is found unenforceable, the rest stays in force. Not enforcing something once does not waive it.
